In a sole proprietorship, the owner alone contributes his resources (including capital and skill) to the business. He takes all the profits and bears all the risks. A sole trader can run his business without any restrictions provided the business in not illegal. There is no limit to his liability for the debts of the business-i.e., in the event that there are insufficient funds in the business or repay all the debts, the sole trader may be forced to sell his personal property, if any, to settle the debts of the business. A sole proprietorship will be dissolved on the retirement, incapacity, death or bankruptcy of the sole trader.
為何要開設獨資業務
成立費用便宜, 方便, 經營者必須在開業後一個內到商業登記處申請, 便可以營運, 每年只需續領商業登記證便可. 在獨資企業中，所有經營者, 獨自將其資源（包括資本和技能）貢獻于自己企業。 他除了所有得的利潤，但亦承擔所有的風險。 獨資經營者可以不受任何限制地經營他的業務，大前提是該業務須不違法及經營者要知道自己營運生意風險。 企業債務的責任同樣地沒有限制，若然企業資金不足, 亦需償還所有債務，獨資經營者可能要被迫出售其個人財產（如果有）以清償企業的債務。 獨資企業將在獨資經營者退休、喪失工作能力、死亡或破產時解散。
